User Agreement and License Agreement

1.1 Grant of License: Subject to this Agreement, Getbee grants you a non-exclusive, non-transferable, revocable license to access and use the Platform for the purpose of conducting live video sales calls in a business-to-business (B2B) context.

1.2 Restrictions: You shall not (i) sublicense, sell, resell, transfer, or distribute the Platform to any third party; (ii) modify, adapt, or reverse-engineer the Platform or attempt to gain unauthorized access to the Platform; (iii) use the Platform in any unlawful manner or for any illegal purpose; (iv) use the Platform to transmit any viruses or malicious code; or (v) interfere with or disrupt the integrity or performance of the Platform.

2.1 Data Processing: Getbee will process personal data in accordance with its Privacy Policy, which is incorporated by reference into this Agreement. By using the Platform, you consent to the collection, processing, and use of your personal data as described in the Privacy Policy.

2.2 GDPR Compliance: Getbee complies with the General Data Protection Regulation (GDPR) and relevant data protection laws. You agree to comply with all applicable data protection laws and regulations when using the Platform, including obtaining any necessary consents from individuals whose personal data may be processed during live video sales calls.

3.1 Content and Conduct: You are solely responsible for the content and conduct of your live video sales calls conducted through the Platform. You agree not to use the Platform to engage in any unlawful, harmful, or inappropriate activities.

3.2 Legal Compliance: You agree to comply with all applicable laws, regulations, and industry standards when using the Platform, including but not limited to laws related to consumer protection, intellectual property, and unfair competition.

4.1 Ownership: Getbee retains all rights, title, and interest in and to the Platform, including all intellectual property rights. You acknowledge that your use of the Platform does not grant you any ownership rights in the Platform or its underlying technology.

5.1 Warranty: Getbee warrants that the Platform will perform materially in accordance with its documentation. In the event of a breach of this warranty, your sole remedy shall be the correction of such non-conformance.

5.2 Disclaimer: EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

6.1 Limitation: TO THE MAXIMUM EXTENT PERMITTED BY LAW, Getbee SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7.1 Term: This Agreement shall remain in effect until terminated as set forth herein.

7.2 Termination: Either party may terminate this Agreement upon written notice if the other party breaches any material provision and fails to cure such breach within thirty (30) days of receiving notice.

8.1 Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of the Dubai International Financial Centre (DIFC), without regard to its conflict of laws principles.

8.2 Dispute Resolution: Any disputes arising out of or in connection with this Agreement or the use of the Platform shall be resolved exclusively in the courts of the Dubai International Financial Centre (DIFC).

9.1 Entire Agreement: This Agreement constitutes the entire agreement between you and Getbee regarding the subject matter herein and supersedes all prior or contemporaneous agreements or understandings, whether oral or written.

9.2 Amendment: Getbee may update or modify this Agreement from time to time. Any such changes will be communicated to you and will become effective upon your continued use of the Platform.

By using the Platform, you acknowledge that you have read, understood, and agree to be bound by this User Agreement and License Agreement.
